Check out LedgerSMB - it pretty much meets all your requirements. 
http://www.ledgersmb.org - note that the past week or so they've been 
having trouble with the hardware that hosts the site, but pop into the 
IRC channel, #ledgersmb on Freenode, and you'll find some of the core 
devs...
